REFERRAL AGREEMENT

Referral Agreement (Promoter/Advocate Track) – Selection U LLC

Effective Date: [1/1/26]

This Referral Agreement (“Agreement”) is entered into by and between Selection U, LLC, an Arizona limited liability company (“Selection U,” “we,” “us,” or “our”), and the individual or entity accepting these terms (“Referral Advocate,” “you,” or “your”).

By participating in the Promoter/Advocate Track and submitting referrals to Selection U, you agree to the following terms:

 

1. Role and Independence

  • You are an independent promoter of Selection U and not an employee, agent, partner, or representative of Selection U, LLC.

  • You may not present yourself as affiliated with or endorsed by Selection U, LLC.

  • You are solely responsible for your promotional activities and content.

 

2. Referral Program Structure

  • You will receive $1.00 USD per month for each referred person who:

    • Uses your unique referral code at sign-up

    • Remains an active, paying Selection U subscriber

  • Payments are made EOM Net 30 (i.e., 30 days after the end of each month).

  • Selection U, LLC may set a minimum payout threshold (e.g., $10) to reduce micro-transactions. If your accrued referral earnings are below this threshold, Selection U, LLC will still issue payment on a quarterly basis (on or around January 1, April 1, July 1, and October 1) for any outstanding balance.

  • Selection U, LLC reserves the right to modify the payout schedule or minimum threshold at any time, with reasonable notice provided via the advocate dashboard or email.

 

3. Referral Code Use

  • You may share your referral code publicly or privately, provided you:

    • Do not misrepresent Selection U’s services, pricing, or outcomes

    • Do not use spam, bots, or deceptive tactics

    • Comply with all applicable laws and platform policies (e.g., FTC disclosure rules).

 

4. Prohibited Conduct

Selection U, LLC reserves the right to terminate your participation immediately if you:

  • Misrepresent Selection U or its services

  • Use misleading, coercive, or deceptive marketing practices

  • Engage in fraud, self-referrals, or artificial traffic generation

  • Violate any applicable laws or regulations

  • Damage Selection U’s brand, reputation, or user trust

 

5. Payment Conditions and Clawbacks

  • Referral payments are based on active, paying users only.

  • If a user cancels, disputes, or receives a refund, Selection U, LLC may:

    • Withhold future payments

    • Claw back prior payments

  • You are responsible for any taxes or reporting obligations related to your earnings.

 

6. Intellectual Property

  • You may not use Selection U’s logos, trademarks, or proprietary content without written permission from Selection U, LLC.

  • You may not create derivative content that mimics or misrepresents Selection U.

 

7. Termination

  • Either party may terminate this Agreement at any time, with or without cause.

  • Upon termination, you will no longer receive referral payments for new sign-ups.

  • Selection U, LLC may continue to pay for existing active referrals at its discretion.

 

8. Limitation of Liability

Selection U, LLC is not liable for any indirect, incidental, or consequential damages arising from your participation in the referral program.

 

9. Governing Law

This Agreement is governed by the laws of the State of Arizona, without regard to conflict of law principles.

 

10. Acceptance

By checking the box or signing below, you agree to the terms of this Referral Agreement and confirm that you are legally authorized to participate.
